1. Scope

These Terms & Conditions govern the use of Spreadmarket and all orders placed through the platform.

Spreadmarket is operated by Syndicate Media UG, Wilhelm-Leuschner-Straße 8, 71522 Backnang, Germany ("Spreadmarket", "we", "us").

Spreadmarket is available exclusively to entrepreneurs, companies and other business customers acting in the course of their commercial or professional activities. The platform is not intended for consumers.

By placing an order, the customer confirms that the order is made for business purposes.

2. Contractual Partner

The customer's contractual partner for placements purchased through Spreadmarket is Syndicate Media UG.

Publishers and website operators displayed on the marketplace act as suppliers or fulfilment partners of Spreadmarket. They do not become the customer's contractual partner solely because a placement is ordered for their website.

3. Services

Spreadmarket enables business customers to purchase digital marketing placements, including backlinks, guest post placements and brand mentions on websites displayed in the marketplace.

The scope and characteristics of an individual placement are determined by the information displayed in the marketplace and the requirements submitted by the customer when placing the order.

SEO metrics, traffic figures and similar third-party metrics displayed on Spreadmarket are informational values and may be based on external data providers such as Ahrefs. These values may change over time and are not guaranteed by Spreadmarket.

4. Orders and Conclusion of Contract

Customers select the desired website and placement type and provide the information required for fulfilment.

The customer is responsible for ensuring that all submitted information, URLs, anchor texts, brand names, documents and other materials are accurate and lawful.

Spreadmarket reserves the right to reject or cancel orders where the submitted material is unlawful, misleading, technically unsuitable, violates third-party rights, conflicts with publisher requirements or cannot reasonably be fulfilled.

If Spreadmarket cancels a paid placement before fulfilment because the placement cannot be provided, the amount paid for the affected placement will be refunded.

5. Prices and Payment

All prices displayed on Spreadmarket are stated in euros (EUR) unless expressly indicated otherwise.

Payment is due when the order is placed and is processed through the payment methods offered during checkout.

Payment processing may be provided by third-party payment service providers such as Stripe.

6. Fulfilment and Delivery Times

Spreadmarket coordinates the fulfilment of purchased placements with the relevant publishers.

Unless expressly agreed otherwise, no fixed publication or delivery date is guaranteed. Processing times may vary depending on the publisher, website, content requirements and other circumstances.

7. Customer Content

Where customers provide articles, URLs, anchor texts, brand information or other content, they are responsible for that material and for having the rights necessary for its use and publication.

Spreadmarket may refuse content that violates applicable law, third-party rights, publisher requirements or the legitimate interests of Spreadmarket or its partners.

8. Publication and Duration of Placements

Spreadmarket does not provide a lifetime guarantee or a guaranteed minimum publication period unless a specific guarantee has expressly been agreed in writing for an individual order.

Websites and online publications are controlled by independent publishers. After publication, publishers may modify their websites, articles, links, editorial structures or business operations.

Spreadmarket therefore does not guarantee that a published placement, article or link will remain online or unchanged indefinitely.

9. Changes After Publication

Spreadmarket is not responsible for subsequent changes made independently by publishers after successful publication, including the modification or removal of articles or links, changes to website structure, domain changes or the discontinuation of a website.

This does not affect liability that cannot legally be excluded or limited.

10. Cancellations by Customers

Due to the nature of the service and the fact that fulfilment may begin shortly after payment, orders cannot generally be cancelled by the customer after payment has been completed.

A change of mind, change of marketing strategy or subsequent decision not to use the placement does not create a right to a refund.

11. Failed Placements

If an ordered and paid placement cannot be fulfilled by the relevant publisher or otherwise cannot be provided by Spreadmarket, the customer is eligible for a refund of the amount paid for the affected placement.

Where an order contains several placements, the failure of one placement does not automatically result in the cancellation or refund of the remaining placements.

12. Marketplace Information and Third-Party Metrics

Information about websites, including traffic estimates, Domain Rating, referring domains, categories and similar information, may originate from publishers or third-party data providers.

Such metrics represent estimates or snapshots at a particular point in time and may subsequently change.

Spreadmarket does not guarantee specific SEO results, rankings, traffic increases, revenue, conversions or other commercial outcomes resulting from a placement.

13. Liability

Spreadmarket is liable without limitation where liability cannot legally be excluded or restricted, including where required by mandatory law.

To the extent permitted by applicable law, Spreadmarket is not responsible for indirect or consequential commercial effects resulting from changes in search engine rankings, algorithms, website traffic, third-party websites or publisher actions outside Spreadmarket's reasonable control.

Nothing in these Terms excludes or limits liability where such exclusion or limitation would be unlawful.

14. Account and Platform Use

Customers are responsible for maintaining the confidentiality of their account credentials and for information submitted through their account.

The platform must not be used for unlawful activities, attempts to compromise the security of Spreadmarket or third parties, fraudulent orders or other abusive activities.

Spreadmarket may restrict or terminate access where necessary to protect the platform, other users, publishers or third parties.

15. Changes to These Terms

Spreadmarket may update these Terms where reasonably necessary, including to reflect changes to the platform, services, legal requirements or business processes.

The version applicable to an order is generally the version accepted by the customer when that order was placed.

16. Governing Law and Jurisdiction

These Terms and the contractual relationship between the customer and Syndicate Media UG are governed by the laws of the Federal Republic of Germany.

To the extent legally permissible, the place of jurisdiction for disputes arising from or in connection with the business relationship is the registered office of Syndicate Media UG.
